These Terms of Service ("Terms") govern your access to and use of the Proco platform, APIs, SDKs, and related services (the "Service") provided by Proco, Inc. ("Proco," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.
Proco provides the on-chain financial layer, including non-custodial USDC wallet provisioning, payment processing, programmable spending policies, and treasury management services on Base and Solana blockchains. The Service is provided via API, TypeScript SDK, MCP server, and framework adapters.
You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or your organization. By using the Service, you represent that you meet these requirements. The Service is not available to persons or entities located in jurisdictions subject to comprehensive U.S. sanctions.
You must create an account to access the Service. You are responsible for maintaining the confidentiality of your API keys and for all activity that occurs under your account. Notify us immediately at security@procohq.com if you suspect unauthorized access to your account or API keys.
You agree not to use the Service to:
Proco operates a non-custodial architecture. Agent wallets are provisioned on-chain and Proco does not hold private keys on your behalf. You are solely responsible for the security of credentials that control on-chain wallets, and for all transactions initiated through those wallets. Proco cannot reverse, recall, or modify blockchain transactions once broadcast.
You are responsible for configuring appropriate spending policies for your agent wallets. Proco provides policy primitives as a tool, but does not guarantee that any policy configuration will prevent unauthorized spending or comply with your particular regulatory requirements. You remain responsible for ensuring your use of the Service complies with all applicable laws.
Fees for the Service are set out on our Pricing page. We reserve the right to change fees with 30 days' notice. Continued use of the Service after fee changes take effect constitutes your acceptance of the new fees. All fees are non-refundable except as required by law.
Proco retains all rights, title, and interest in the Service, including all software, documentation, and trademarks. Nothing in these Terms grants you ownership of any Proco intellectual property. You retain all rights to code you write using our SDK and APIs.
Proco's infrastructure may be used to build and operate AI agents that execute financial transactions autonomously. Proco does not control, verify, or take responsibility for decisions made by AI agents operating through the Service. Output generated by AI agents using our APIs, SDK, or MCP server does not constitute financial advice, investment advice, legal advice, or any other form of professional advice.
You are solely responsible for: (a) the behavior of any AI agents you deploy using the Service; (b) ensuring those agents operate within applicable laws and regulations; (c) reviewing and approving consequential financial decisions made by agents; and (d) any losses or damages arising from autonomous agent activity.
Proco's spending policy engine and transaction limits are tools to help you manage agent behavior — they do not guarantee that agent activity is appropriate, accurate, or compliant for your specific use case.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. PROCO DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT BLOCKCHAIN NETWORKS WILL PERFORM AS EXPECTED.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROCO AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL PROCO'S TOTAL LIABILITY EXCEED THE FEES YOU PAID IN THE TWELVE MONTHS PRECEDING THE CLAIM.
You agree to indemnify and hold harmless Proco and its affiliates from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, violation of these Terms, or your agents' financial activity.
Either party may terminate these Terms at any time. Proco may suspend or terminate your access to the Service immediately if you violate these Terms or applicable law. Upon termination, your right to use the Service ceases. Sections 9, 10, 11, and 13 survive termination.
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes will be resolved through binding arbitration under the AAA Commercial Arbitration Rules, with proceedings in San Francisco, California.
We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on our website. Continued use of the Service after any update constitutes acceptance of the revised Terms.
